Terms of Service
These terms ("Terms") govern your use of SecureGard's website, desktop agent and admin console (collectively the "Service"). By creating an account or installing the SecureGard agent, you agree to these Terms.
1. The Service
SecureGard provides employee monitoring and workforce productivity software for businesses. The Service includes a desktop agent (macOS and Windows), an admin console, and the underlying APIs.
2. Customer obligations
You agree to:
- Use the Service only for lawful business purposes and in compliance with the UK GDPR, the Data Protection Act 2018, and the Information Commissioner's Office (ICO) guidance on monitoring workers.
- Inform every person whose activity will be monitored, in writing, before installing the SecureGard agent on their device.
- Conduct a Data Protection Impact Assessment (DPIA) for high-risk monitoring such as periodic screenshots.
- Maintain the security of your administrator credentials.
3. Acceptable use
You may not:
- Use the Service to monitor people without their knowledge.
- Use the Service to harass, intimidate or discriminate against any person.
- Reverse-engineer or attempt to circumvent the security of the Service.
- Use the Service for any unlawful purpose.
Breach of this clause is grounds for immediate suspension or termination.
4. Pricing and payment
The Free plan is provided at no cost. The Pro plan is billed monthly per active user in pounds sterling, exclusive of VAT. Enterprise pricing is agreed individually.
Pro and Enterprise invoices are due within 14 days of issue.
5. Cancellation
You may cancel your account at any time from inside the admin console. There is no minimum term on Free or Pro. On cancellation, your data is retained for 30 days to allow re-activation, then permanently deleted.
6. Refunds
Pro plans are billed monthly in advance. We do not offer pro-rata refunds for the unused portion of a billing cycle.
7. Service availability
We aim for 99.5% monthly uptime on the Free and Pro plans, and 99.9% on Enterprise plans backed by a written SLA. Planned maintenance is announced at least 24 hours in advance via email to account administrators.
8. Data ownership
You retain all ownership rights in the activity data, screenshots and account data you upload. We process this data only to provide the Service to you. See our Privacy Notice for full details.
9. Limitation of liability
To the maximum extent permitted by law, SecureGard's aggregate liability under these Terms shall not exceed the fees you paid to us in the 12 months preceding the event giving rise to the claim. Nothing in these Terms limits liability for death or personal injury caused by negligence, fraud, or any liability that cannot be limited under applicable law.
10. Termination
We may suspend or terminate your account if you breach these Terms or fail to pay an invoice within 30 days of its due date. We will give you reasonable notice and an opportunity to cure where practicable.
11. Changes to these Terms
We may update these Terms from time to time. Material changes will be notified to account administrators by email at least 30 days in advance.
12. Governing law
These Terms are governed by the laws of England and Wales. Any dispute will be resolved by the courts of England and Wales.
